TERMS OF SERVICE – SHOPFIT HUB

This Terms of Service Agreement ("Agreement") is a legally binding contract between Icon Safety Systems Ltd a company incorporated in England and Wales with company number 16449520 whose registered office is at The Barn 8 Oakley Hay Lodge Great Folds Road, Corby, Northamptonshire, United Kingdom, NN18 9AS. Icon Safety Systems Ltd and you the individual or entity accessing or using the Icon Safety Systems Ltd ShopFitHub platform at www.shopfithub.com and any associated mobile applications or services (the "Service").
By registering, creating a project, making a payment, or using the Service in any way (including clicking "I Agree" or proceeding to payment), you agree to be bound by this Agreement. If you are entering this Agreement on behalf of a company or other legal entity, you represent and warrant that you have full authority to bind that entity.
1. The Service 1.1 ShopFit Hub is a cloud based SaaS platform that enables users to manage compliance documentation, contractor pre qualification, project directories, health & safety files, site forms/checks, and related tools for individual shopfitting and construction projects. 1.2 Access to manage a specific project is granted only upon payment of the applicable one time Project Fee (as displayed during project setup or in your account dashboard). Each Project Fee covers one distinct project for its active duration and a post completion retention period. 1.3 We grant you a limited, non exclusive, non transferable, revocable license to use the Service solely for the paid project(s) during the applicable access period, subject to this Agreement and payment. 1.4 We may update or modify the Service. Significant changes will be notified via email or in app notice.
2. Project Creation, Payment, and Access 2.1 To use the Service for a project, you must create a project profile, provide accurate details, and pay the one time Project Fee via the secure payment method provided (e.g., Paypal). Fees are quoted exclusive of VAT (which will be added where applicable). 2.2 Payment is non refundable except as required by law or explicitly stated (e.g., cooling off rights do not apply to B2B services under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013). 2.3 Upon successful payment, access is activated for that project. You may invite authorised team members/contractors (who may need to accept these Terms). 2.4 If payment fails or is reversed, access will be suspended or revoked immediately. 2.5 Project Fees are set per project.
3. User Accounts, Responsibilities, and Data 3.1 You must provide accurate information and keep it updated. You are responsible for all activity under your account and invite users. 3.2 You must comply with all applicable laws (including UK health & safety, data protection, and CDM Regulations 2015). Do not upload illegal, infringing, harmful, or misleading content. 3.3 You retain ownership of all data, documents, or materials you or your invitees upload ("User Data"). 3.4 You grant us a worldwide, non exclusive, royalty free license to use, host, copy, transmit, display, and modify User Data solely to provide, maintain, support, and improve the Service for your project(s) and (in anonymised/aggregated form) platform wide enhancements.
4. Data Protection 4.1 Both parties comply with the UK GDPR and Data Protection Act 2018. 4.2 Where we process personal data on your behalf (e.g., contractor names/details), we act as processor and you as controller. Our Data Processing Addendum (available on request or at [link if added]) forms part of this Agreement. 4.3 We maintain reasonable security measures for User Data.
5. Intellectual Property 5.1 We (or our licensors) own all rights in the Service, software, design, and underlying content (excluding User Data). 5.2 You must not reverse engineer, copy, modify, resell, or create derivatives of the Service.
6. Confidentiality Each party will keep the other's confidential information secure and use it only for purposes under this Agreement.
7. Term, Termination, and Access Period 7.1 This Agreement starts on project creation/payment and applies per project. 7.2 Access to a project ends at the expiry of the paid access period (e.g., project completion plus archiving window). We delete User Data (with exception of user registration detail) after expiry unless law requires retention. 7.3 Either party may terminate for material breach (with notice to remedy where possible, except for non payment or severe violations). 7.4 On termination, access ceases; you must stop using the Service for that project.
8. Warranties and Liability 8.1 The Service is provided "as is". We do not guarantee uninterrupted, error free access or perfect virus protection, but we use reasonable endeavours for availability. 8.2 Nothing excludes liability for death/personal injury from negligence, fraud, or matters that cannot be excluded under English law (including under the Unfair Contract Terms Act 1977). 8.3 Subject to 8.2, our total liability (contract, tort, or otherwise) per project is capped at the Project Fee paid for that project. 8.4 We are not liable for indirect, consequential, loss of profits, business interruption, data loss, or opportunity losses.
9. Force Majeure Neither party is liable for delays from events beyond reasonable control (excluding payment obligations).
10. Governing Law and Jurisdiction This Agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
11. Miscellaneous 11.1 This is the entire agreement; supersedes prior understandings. 11.2 Invalid provisions do not affect the rest. 11.3 We may assign this Agreement; you may not without consent.
