End User Agreement



This End User Agreement ("Agreement") is a legal contract between Icon Safety Systems Ltd a company registered in England and Wales with company number 16449520 whose registered office is at The Barn 8 Oakley Hay Lodge Great Folds Road, Corby, Northamptonshire, United Kingdom, NN18 9AS. Icon Safety Systems Ltd and you, the individual or entity accessing or using the Icon Safety Systems Ltd , ShopFit Hub platform at www.shopfithub.com and any associated mobile applications or services (the "Service").


By accessing, registering for, or using the Service (including clicking "I Agree", completing registration, or using any part of the platform), you agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity.


1. The Service 1.1 ShopFitHub provides a cloud based platform for managing compliance documentation, contractor pre qualification, project directories, health & safety files, site forms, and related tools for shopfitting and construction projects. 1.2 We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during the usage term, subject to this Agreement. 1.3 We may update or modify the Service from time to time. Material changes will be notified via the platform or email.


2. User Accounts and Responsibilities 2.1 You must provide accurate registration information and keep it updated. 2.2 You are responsible for maintaining the confidentiality of your login credentials and all activity under your account. 2.3 You must comply with all applicable laws, including health & safety, data protection, and construction regulations (e.g., CDM Regulations 2015). You must not upload illegal, infringing, or harmful content. 2.4 You retain ownership of any data, documents, or materials you upload ("User Data"). You grant us a worldwide, non exclusive, royalty free license to use, host, copy, transmit, display, and modify User Data solely to provide, maintain, and improve the Service.


3. Data Protection 3.1 Both parties will comply with the UK GDPR and Data Protection Act 2018. 3.2 Where we process personal data on your behalf (e.g., contractor details), we act as processor and you as controller. Our Data Processing Addendum forms part of this Agreement. 3.3 We implement reasonable technical and organisational measures to secure User Data.

 

4. Fees and Payment 4.1 Access requires payment of fees as displayed on the Service. 4.2 Fees are exclusive of VAT. You will pay in GBP by the method specified.


5. Intellectual Property 5.1 We (or our licensors) own all rights in the Service, software, design, and content (excluding User Data). 5.2 You must not reverse engineer, copy, modify, or create derivative works of the Service.


6. Confidentiality Each party will keep the other's confidential information secure and use it only for the purposes of this Agreement.


7. Term and Termination 7.1 This Agreement starts on acceptance and continues until the project ends or is terminated. 7.2 Either party may terminate for material breach (with 30 days' notice to remedy or serious breach). 7.3 On termination, access ends and you must cease using the Service. We may delete User Data after 30 days unless required by law.


8. Warranties and Liability 8.1 The Service is provided "as is". We do not warrant uninterrupted, error free, or virus free use, but we will use reasonable endeavors to maintain availability. 8.2 Nothing in this Agreement excludes or limits liability for death/personal injury caused by negligence, fraud, or other matters that cannot be excluded under English law. 8.3 Subject to 8.2, our total aggregate liability (whether in contract, tort, or otherwise) shall not exceed the fees paid by you in the 12 months preceding the claim. 8.4 We shall not be liable for any indirect, consequential, loss of profits, business, data, or opportunity losses.


9. Force Majeure Neither party is liable for delays due to events beyond reasonable control (excluding payment obligations).


10. Governing Law and Jurisdiction This Agreement is governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.


11. Miscellaneous 11.1 This is the entire agreement; no oral amendments. 11.2 If any provision is invalid, the remainder remains in effect. 11.3 We may assign this Agreement; you may not without our consent.
